Welcome to Livpos!

These terms and conditions outline the rules and regulations for the use of the Livpos service, operated by aiPopuli Technologies Pvt Ltd ("Company", "We", "Us", or "Our").

By accessing or using the Service, we assume you accept these terms and conditions. Do not continue to use Livpos if you do not agree to take all of the terms and conditions stated on this page.

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements: "Client", "You" and "Your" refers to you, the person accessing and using this Service and compliant to the Company's terms and conditions. "The Company", "Ourselves", "We", "Our" and "Us", refers to aiPopuli Technologies Pvt Ltd. "Party", "Parties", or "Us", refers to both the Client and ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client's needs in respect of provision of the Company's stated services, in accordance with and subject to, prevailing law of India.

Interpretation and Definitions

Definitions

For the purposes of these Terms and Conditions:

• Service refers to the Livpos web application, mobile application, and all related APIs and tools provided by the Company.
• Account means a unique account created for You to access the Service or parts of the Service.
• Company refers to aiPopuli Technologies Pvt Ltd, 3rd Floor, Snehatheeram Hi-Way, Karikkakom, Anayara, Thiruvananthapuram 695029, Kerala, India.
• Content refers to data, text, information, reports, and other materials generated by or uploaded to the Service.
• Device means any device that can access the Service such as a computer, cellphone, or digital tablet.
• Country refers to Kerala, India.

User Accounts

When You create an account with Us, You must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account on Our Service.

You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password, whether Your password is with Our Service or a third-party service.

You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.

Access and Roles

The Service provides role-based access control with the following levels:

• Superadmin: Full administrative access to all system features, settings, and data management capabilities.
• Admin: Administrative access to manage stores, users, reports, and operational features.
• L1 Users: Access to hourly updates, shift reports, and daily operational data.
• L2 Users: Access to shift-level and weekly performance reports and analytics.
• L3 Users: Access to monthly summaries, daily summaries, and high-level business reports.

You agree to use the Service only within the scope of Your assigned role and access level. Unauthorized access to features or data outside Your assigned role is prohibited.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable national or international law or regulation.
• Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service.
• Upload, transmit, or distribute any viruses, malware, or other harmful computer code.
• Use the Service to transmit any unauthorized advertising, promotional materials, or spam.
• Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
• Share, distribute, or export any sales data, business intelligence, or performance reports outside of authorized channels.
• Misuse the AI chat features by submitting harmful, misleading, or inappropriate content.
• Share Your login credentials, magic login links, or authentication tokens with any unauthorized person.

Data and Content

Business Data

The Service processes business data including but not limited to sales records, performance targets, shift reports, passenger data, and trend analytics. This data is provided by You or Your organization and remains the property of the respective data owner.

We do not claim ownership of Your business data. However, We reserve the right to use aggregated, anonymized data for the purpose of improving the Service.

Data Import

When importing data via CSV/Excel upload or API, You are responsible for ensuring the accuracy and legality of the data submitted. The Company shall not be held liable for any errors or consequences arising from incorrect data imports.

AI-Generated Content

The Service provides AI-powered features including chat-based analytics and automated target recommendations. AI-generated content is provided for informational and advisory purposes only. The Company does not guarantee the accuracy, completeness, or suitability of AI-generated recommendations. You are solely responsible for any decisions made based on AI-generated content.

Notifications and Communications

By using the Service, You consent to receive automated communications through the following channels:

• WhatsApp Messages: Shift reports, hourly updates, daily summaries, weekly and monthly comparison reports, and consent messages.
• Push Notifications: Real-time alerts and updates delivered to Your mobile device via Firebase Cloud Messaging.
• Email Notifications: System reports and operational communications.

You may manage Your notification preferences through Your account settings or by contacting Your system administrator. Opting out of certain notifications may affect Your ability to receive important operational updates.

Intellectual Property

Unless otherwise stated, aiPopuli Technologies Pvt Ltd and/or its licensors own the intellectual property rights for all material in the Livpos Service. All intellectual property rights are reserved.

You must not:

• Republish material from the Livpos Service without authorization.
• Sell, rent, or sub-license material from the Service.
• Reproduce, duplicate, or copy material from the Service for commercial purposes.
• Redistribute content from the Service without explicit permission.
• Reverse engineer, decompile, or disassemble any part of the Service.

Cookies

We employ the use of cookies. By accessing the Service, You agreed to use cookies in agreement with our Privacy Policy.

Cookies are used by the Service to enable functionality, maintain user sessions, and make it easier for users to navigate the application. Some essential cookies are required for the Service to function properly, including authentication cookies and session cookies.

Third-Party Services

The Service integrates with third-party services to provide its functionality. These include:

• OpenAI: For AI-powered analytics and chat features. Use of these features is subject to OpenAI's terms of service.
• WhatsApp Business API: For automated business messaging. Messages are delivered through WhatsApp's platform and subject to WhatsApp's terms.
• Firebase Cloud Messaging: For push notification delivery. Subject to Google's terms of service.

We are not responsible for the practices or policies of any third-party service providers. We encourage You to review their respective terms and privacy policies.

Service Availability

We strive to maintain the availability of the Service at all times. However, We do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

• Scheduled maintenance and updates
• Unplanned technical issues or server failures
• Third-party service outages (WhatsApp API, OpenAI, Firebase, etc.)
• Force majeure events beyond Our reasonable control

We shall not be liable for any loss or inconvenience caused by temporary unavailability of the Service.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service, including AI-generated recommendations.
• Unauthorized access, use, or alteration of Your transmissions or content.
• Errors in data import, processing, or report generation.

Termination

We may terminate or suspend Your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.

Upon termination, Your right to use the Service will cease immediately. If You wish to terminate Your account, You may contact the system administrator.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer

To the maximum extent permitted by applicable law, We exclude all representations, warranties, and conditions relating to the Service and the use of this Service. Nothing in this disclaimer will:

• Limit or exclude Our or Your liability for death or personal injury;
• Limit or exclude Our or Your liability for fraud or fraudulent misrepresentation;
• Limit any of Our or Your liabilities in any way that is not permitted under applicable law; or
• Exclude any of Our or Your liabilities that may not be excluded under applicable law.

The limitations and prohibitions of liability set in this Section and elsewhere in this disclaimer: (a) are subject to the preceding paragraph; and (b) govern all liabilities arising under the disclaimer, including liabilities arising in contract, in tort, and for breach of statutory duty.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, regarding the Service's reliability, accuracy, or fitness for a particular purpose.

Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Thiruvananthapuram, Kerala, India.

Changes to These Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Service.
